要:开放的、有进有退的证券市场，是经济持续增长不可或缺的因素。全面准确的信息披露是连接上市公司、交易所和投资者的最基础最重要的环节，是投资者了解企业情况、进行投资决策的基本依据。在证券市场中各主体利益的不同，从根本上造成不良上市公司严重的退出障碍。本文尝试以上市公司信息披露为焦点，立足于上市公司退市，运用博弈论方法来分析信息披露及上市公司退市过程中各利益主体的行为特点，做一定量研究，并提出相应的政策建议。 所谓信息披露，主要是指公众公司以招股说明书、上市公告书以及定期报告和临时报告等形式，把公司及与公司相关的信息，向投资者和社会公众公开披露的行为。全国人大在《证券法》执法检查中明确指出:“信息披露不真实是上市公司招股、上市、配股和年报工作中存在的一个比较普遍的问题。”而目前我国对上市公司信息披露的监管亦尚存不少问题，主要现在: 1、证监会和交易所监管 (1)不能及时发现虚假披露问题
