美元兑换中国人民币书/备忘录 USD vs RMB Exchange Agreement/Memorandum 2009年07月  日 美元方/USD Provider(USD-P): 地址/Address: 电话/Telephone: 电子邮件/E-mail: 人民币方/RMB provider(RMB-P): 地址/Address: 电话/Telephone: 电子邮件/E-mail: 本为非委派性的，其主要签署人须对此间确认的约束性声明负责任，任何与事实不符之处（有关帐户）将被备案，并将由银行机关进行复查/This contract is binding to both paries,not only to the persons mandated;The legal persons sign the contract of both parties must take full responsibilities for the terms and conditions agreed in this agreement.Any false(of account) will be kept on record and  insepected and identified by the bank. 一、 美元方保证其资金为非犯罪来源，乃正当获得的，无进行抵押或冻结的资金 /USD-P guarantees that the funds are clean,clear funds,of non-criminal origink,is free of any liens and encumbrances and has been derived from legal surccs. 二、 人民币方给予 %的奖励，（ %奖金给予美元银主），（ %人民币方所需费用）及（ %各中间方分配） /The RMB-P will offer total seven %percentage,( %of bonus to USD-P) and the( %RMB Facilitators)/( %for both parties Intermediaries). 三、 兑换方式/Exchange Mode: 人民币方以银行帐户对帐户的方式进行100亿美元等额之中国人民币兑换美元业务/By Ledger to Ledger for the equivalent in RMB to 10 Bilion USD. 四、 兑换流程 Exchange Proceduer: 1、 美元方与人民币签订本协议书后。双方银主到中国建设银行深圳支行贵宾室，美元方将首批兑换的20亿美元划入人民币方在香港银行的美元接款帐户，美元方并即时提供资金到帐依据及护照给人民币方。Both USD-P and RMB-P sign this Agreement.Both providers go to China Construction Bank addressed of the Baoan Sub-Branch International Aitport Shenzhen.USD-P will provide USD 2 Billion documents/certification Approval of funds transferred,and Passport. 2、 人民币方将兑换的20亿美元等值的人民币，划入美元方在中国境内银行开立的人民币帐户，并即时提供资金到帐依据（进帐单或银行官员签字的资金证明）/RMB-P transfer the equivalent RMB to 2 Billion of USD to USD-P’s RMB account in China;and will provide Bank Statement with bank officer signed. 3、 人民币方提供已划入美元方在中国境内银行开立的人民币帐户内人民币的资金  A）、大额资金证明，B）Certificate of Funds, C)Payment of Duties and Bonus Fee Payment Order. 五、 转帐步骤/The tranche schedule; 1、 转帐：20亿美元 /Minimum amount to 2 Billion USD. 六、 一般性条件 Other Terms and Conditions: 1、 不向与本协议书无关的第三方提供本协议书副本。另外，协议各方同意，如将本协议书的任何细节透露给第三方，按罚责法案进行赔偿/Both parties agree not to offer any copy of this agreement to third party not concerned in this agreement.It is agreed that any party who disclose any details of this agreement to the third party will be punished according to the laws applied to. 2、 所有仲裁将按香港法律执行委员会/All Arbitration will follow the Laws of Hong Kong. 3、 对本协议书的变更，须向合同服务商处交书画文件/Any revision to this Agreement must be in written form,and agreed by both parties. 七、 美元方银行座标/USD provider’s Banking Details: 银行名称/Bank Name: 银行地址/Bank Address: 帐户号码/Account No: 帐户名称/Account Name: 银行电话/Tel No: 银行传真/Fax No: 银行高级职员/Bank Officer: SWIFT代码/SWIFT Code: 八、 人民币方银行座标/RMV-P provider’s Banking Details: 银行名称/Bank Name: 银行地址/Bank Address: 帐户号码/Account No: 帐户名称/Account Name: 银行电话/Tel No: 银行传真/Fax No: 银行高级职员/Bank Officer: SWIFT代码/SWIFT Code: 九、 中介费用/Commission for the Facilitators/ Intermediaries: 1、 所有的中介费将於银行进行转帐付款当日支付，任何扣除或银行税金，所得税均由各受益人承担，不由付款人承担/All commission must be paid on the day the bank stsrts to transfer the funds,all charges including banking charge,income tax,and other cost are for the accoundt of beneficiary,not for the payer’s. 2、 美元方奖金将按下述银行座标受益人 %Bonus for USD Provider shall be paid to the following account; 汇款人名称/Name of Payer: 受益人/Beneficiary: 银行名称/Bank Name: 帐户名称/Account Name: 帐号/Account No: SWIFT代码/SWIFT Code: 电话/Tel No: 传真/Fax No: 银行高级职员/Bank Officer: 3、 3、人民币方奖金银行座标受益人 %Bonus for RMB Facilitators shall be paid to the following account; 汇款人名称/Name of Payer: 受益人/Beneficiary: 银行名称/Bank Name: 帐户名称/Account Name: 帐号/Account No: SWIFT代码/SWIFT Code: 电话/Tel No: 传真/Fax No: 银行高级职员/Bank Officer: 4、 中间人美元方奖金将按下述银行座标受益人 %Bonus for USD Provider shall be paid to the following account; 汇款人名称/Name of Payer: 受益人/Beneficiary: 银行名称/Bank Name: 帐户名称/Account Name: 帐号/Account No: SWIFT代码/SWIFT Code: 电话/Tel No: 传真/Fax No: 银行高级职员/Bank Officer: 5、 中间人人民币方奖金将按下述银行座标受益人 %Bonus for RMB Facilitators shall be paid to the following account; 汇款人名称/Name of Payer: 受益人/Beneficiary: 银行名称/Bank Name: 帐户名称/Account Name: 帐号/Account No: SWIFT代码/SWIFT Code: 电话/Tel No: 传真/Fax No: 银行高级职员/Bank Officer: 6、 人民币方所需费用 %（按投资分配承担书及明细表分流）/Total commission for the RMB 1%(Distribute list will according to promise letter of investment distribution). 十、双方特此就本协议书进行签字於2009年07年  日/Both parties read and understood the full contract with signatures at the date:2009/7/ 美元方/USD-P                                 姓名/Name: 护照号码/Passport No: 国籍/Nationality: 人民币方/RMB-P                                 姓名/Name: 护照号码/Passport No: 国籍/Nationality:
