MEMORANDUM OF UNDERSTANDING This Memorandum of Understanding is made and entered by and between 谅解备忘录 本谅解备忘录签署于,签署双方是 xxxx a company duly incorporated in xxx, bearing Company Registration No. xxx and having its Registered Office and/or the Principle Place of Business at xxxx (hereinafter called and referred to as “xx”, which term shall as herein used where the context so requires mean and include the said xx xx LIMITED its successors in office and assigns) xx公司,一家根据xx法令正式注册成立的公司,公司注册号为xx,公司注册地址为xx(以下简称为“xx”,指xx以及其继任人与受让人)。 AND以及 Xx a company duly incorporated under the Peoples Republic of China, bearing Company Registration No. ……………. and and having its Registered Office and/or the Principle Place of Business at xx(hereinafter called and referred to as the “xx”, which term shall as herein used where the context so requires mean and include the said xx. its successors in office and assigns) xx,一家根据中国人民共和国法律正式注册成立,公司注册号为...............,公司注册地址xx(以下简称为“xx”,xx以及其继任人与受让人)。 WHEREAS, xx and xxx have entered into a memorandum of understanding with each other for xx to act as a local representative and local consultant to bid for the “EOI” called by the “xx” for “xxxxxx”. 鉴于,xx 和xx双方已经签署谅解备忘录,xx授权xx作为其当地代表和当地顾问就xx-业主)的“xx 项目”的“意向书”进行投标。 NOW THEREFORE, in consideration of the foregoing and the mutual rights and applications below, each party hereto executes this Memorandum of Understanding to evidence the terms and conditions under which each party agrees to pursue the said Venture. 有鉴于此,现考虑到上述及以下的相互权利和申请,双方在此执行本谅解备忘录,同意遵守相关条款以追求共同目标。 1.Definitions定义 ‘Local Representative and ‘Local Representative and Local Consultant’ shall mean Local Consultant’the xx 当地代表及当地顾问当地代表和当地顾问是指xx公司 ‘MOU’ 谅解备忘录shall mean the instant Memorandum of Understanding and its subsequent amendments, if any, made in terms of this Memorandum of Understanding. 是指本谅解备忘录及以本谅解备忘录为基础的后续修正版(如有) ‘Parties’双方shall mean xx and xxR是指xx及xx ‘EOI’意向书shall mean the EOI called by the “Urban Development Authority” for “xxx” 是指由城市发展局的“xx项目”的意向书 Client 业主Shall mean “Urban Development Authority” 是指城市发展局 2.Subject主题 1 The Parties agree thatxx shall act as the local representative and local consultant to assist xx in bidding for the EOI called by t he “Urban Development Authority ” for “xx” a nd in the event the said EOI is awarded to xx to assist where needed in the work thereof. 双方同意xx被授权作为xx当地代表和当地顾问,并协助xx就城市发展局(UDA-业主)的“xx”的意向书进行投标,如前文所述的意向书被授予给xx,xxE需协助完成所需工作。 3.Duties and Responsibilities of xx双方的责任与义务 3.1xx shall perform the following - xx应完成以下工作: (a)Provide information necessary to assist xx to price the total cost of EOI, 提供必要信息以协助xx对意向书的总成本进行报价, (b)Collect all and connected applications and/or documents and/or EOI papers from the National Water Supply & Drainage Board, 从国家水供应&排水部收集并整理相关申请及/或文件及/或意向书文件, (c)Duly fill and/or prepare on behalf ofxx all documentation in relation to the said EOI, 代表xx填写/或准备与拟以的意向书有关的所有文件, (d)Participate and/or take part in any meeting, discussion and/or any other gathering in relation to the said EOI, 参加与拟以的意向书有关的所有会议,会谈或讨论 (e)Take all necessary and meaningful steps to duly bid for and secure the said EOI for and on behalf of xx 采取所有必要及有意义的措施代表xx进行投标并争取中标 (f)If the EOI is awarded, assist in the execution of the relevant and/or necessary Agreement and/or Contract on behalf ofxx 如果意向书被授予(xx),那么xx需代表xx在相关和/或必要合同的执行过程中予以协 助。 In the event the EOI is awarded to xx ; 如意向书被授予给xx, (g)To handle, with due diligence and care, any liaison work needed by xx with the relevant Government authorities. xxE需以应有的精心和努力,处理任何需要xx与当地政府部门相关的任何必要联络工作。 3.2xx shall perform the following,xx需完成以下工作, (a) e in the by the xx. An Agency/Consultancy Fee of 4% Agency/Consultancy Fee shall be paid for Provisional sum, Day works , Contingency Allowance in the event these provisions are used in the Project. Applicable VAT shall also be paid to xx corresponding to the 4% Agency/Consultancy Fee. 如合同被授予给xx,那么xx需向xxx支付合同额百分之四的代理费/顾问费;合同价值将以 xx中标时的合同价值为准。代理费的百分之四将被用来支付暂列金,计日工和应急备用金, 如果这些费用在项目中被使用时。顾问费/代理费的百分之四相应的增值税(如有)也应被付 给xx。 (b)Payment terms of the Agency/Consultancy Fee shall be: Sum, Day works, Contingency Allowance and VAT) of the Project; the Contract Price. 顾问协议/代理协议的支付条款应为:项目的暂列金,计日工,应急备用金以及增值税;合同 总额。 (c)Payment Method : 50 (fifty) percent of the total agency fee shall be paid to xx not greater than a period of 21 (twenty one) days, by the xx up on receipt of the first payment (advance) from the client –“UDA”. It shall be noted that the period of 21 (twenty one) days will ne reckoned from the date of receipt of advance payment by the Principal. 支付方式:xx应在收到业主-城市发展局的第一笔预付款后不超过21天的时间内向x支付代 理费的百分之五十。应注意的是21天是指委托人收到预付款之日开始计算。 The remaining portion of the agency fee shall be paid to xx in two equal installments from the receipt of next two payments from the Client – UDA. The date of payments to xx shall be as same as that of first payment described above. 剩余的代理费应在xx收到业主-城市发展局的接下来的两笔款项后分两次等值支付。支付时 限将与前文所述保持一致。 4.Representations and Warranties of xx xx的声明及保证 Cxx hereby represents, warrants and covenants to xx that;xx在此向xx声明,保证并承诺如下: 4.1It has the power and authority to enter into this MOU and to perform its obligations under this MOU. xx有权签署本谅解备忘录并履行其在本谅解备忘录中的义务。 4.2It has made a full disclosure of all information in relation to the above MOU and have not withheld any information that if disclosed would result in xx not entering into this MOU. xx已经充分披露与上述谅解备忘录有关的所有信息,而且其并未保留任何将会导致xx无法进入本谅解备忘录的信息。 4.3It will appoint xx as it exclusive agent for all project undertaken in xxxa. xx将授权xx作为其在xxx所有项目的独家代理。 5.Legal Status of the Parties upon entering into this MOU双方签署本谅解备忘录后的法律地位 5.1Parties agree that nothing contained in this MOU shall be deemed or construed to create a relationship of principal and agent and/or of partnership and/or master and servant between the Parties and neither the provisions contained in this MOU nor any acts of the Parties hereto shall be deemed to create any such relationship between parties. 双方同意本谅解备忘录中的内容将不得被视为或认为构成一种委托人与代理人的关系,和/或合作伙伴,和/或者雇主和雇员的关系;而且本谅解备忘录中的所有条款或双方的任何行为将不得被视为产生任何此类关系。 5.2Parties agree that by entering into this MOU the Parties shall not be permitted to use the name, logo and/or trademarks of either party and acknowledges that either party and acknowledges that either party has no rights whatsoever to the intellectual property of the other. 双方同意签署本谅解备忘录后,双方不得批准使用任何一方的名称,标识或商标,并承诺任何一方无权使用另外一方的知识产权。 6.Duration of MOU谅解备忘录的有效期 6.1This MOU shall come into force upon the parties executing these presents and will be valid until all the works in terms of the EOI are executed in the event the said EOI is awarded to XX 本谅解备忘录自双方签字之日起生效,有效期直至意向书授予给xx之后终止。 6.2Notwithstanding Clause 6.1尽管有6.1条规定 (a)xx has the right and liberty to terminate this MOU for any reason whatsoever after giving 14 days notice to XX and xxE有权在提前14天通知xx后以任何理由终止本谅解备忘录,而且 (b)No term shall survive at the expiry or termination of this MOU unless expressly provided. 除非另有规定,本谅解备忘录终止后任何条款都将无效。 7.Confidantiality保密 7.1The parties acknowledge in the course of this MOU they will access to and/or be in possession of confidential information of the other. ‘Confidential Information’ includes without limitation the terms of this MOU, any feasibility report or document prepared in relation thereto plus all information identified by the disclosing party as proprietary and confidential. All confidential information shall remain the sole property of the disclosing party. 双方承诺在谅解备忘录实施过程中,双方将获得另外一方的机密信息。机密信息包括但不限于本谅解备忘录中的条款,任何可行性或与之相关的被披露方标记为所有的机密的任何文件。所有保密信息应被视为披露方独家所有。 7.2Each party shall hold in confidence in the same manner as it holds its own confidential information of like kind all confidential information of the other party which it may have accessed hereunder. Access to confidential information shall be restricted to those of the party’s personnel with a need to know and end engage in a permitted use. 一方在从另外一方获得类似保密信息后,应像其对待自有的机密信息一样予以保密。获得的保密信息应仅限于一方须知人员获得批准后使用。 7.3The foregoing shall not prohibit or limit any party’s use of information (including, but not limiting to, ideas, concepts, know-how techniques and methodologies) (i) previously known to it (ii) independently developed by it (iii) acquired by it from a third party without continuing restriction on use (iv) which is, or publicly available through no breach of this MOU. 上述条款并不限制任何一方使用以下信息(包括但不限于知识、概念)专门技能以及方法论)(i) 之前已知的 (ii)由其独立开发的 (iii)其从第三方获取且在使用上无限制(iv) 大众已知,且不违背本谅解备忘录。 7.4This Section shall survive and remain in force as between the parties notwithstanding termination of this MOU. 即使本谅解备忘录终止,本条款将对双方一直持续有效。 8.Good Faith 善意 In entering into these presents the parties hereto recognize that it is impracticable to made provisions for every contingency that may arise in the course of the performance thereof. Accordingly, the Parties hereto declare it to be their interest that these presents shall operate between them with fairness and without detriment to the interest of any of them and if in the course of the performance of these presents unfairness to any party is disclose or anticipated then the Parties hereto shall use their best endeavors to agree upon such action as may be necessary and equitable to remove the cause or causes of the same. 在签署本谅解备忘录时,双方一致同意在协议执行过程中为所有可能发生的意外情况制订条款是不实际的。相应的,双方在此一致声明双方将公平对待且不损害另外一方的任何利益,如果在实施过程中出现任何一方的利益被不公平对待的现象,那么另外一方同意将尽其最大努力采取任何必要措施移除导致该现象产生的原因。 9.Amendment修正 No waiver or amendments or modifications of any term or clause in this MOU shall be binding upon the Parties unless it is in writing duly executed by the Parties hereto or their authorized representatives. 未经双方授权代理书面确认,本谅解备忘录中的任何条款的修订或修改将不会对双方产生法律约束力。 10.Status of MOU谅解备忘录的法律地位 It is expressly understood and agreed between the parties that the provisions of this MOU shall be legally binding on any of the Parties. 根据本谅解备忘录的条款明确规定,本谅解备忘录将对双方产生法律约束力。 11.Governing Law and dispute settlement适用法律和争议解决 11.1This MOU will be governed by and construed in accordance with the Laws ofxx本谅解备忘录将受xx相 关法律管辖和解读。 11.2With regard to any dispute in relation to this MOU or its interpretation, a competent Court inxxwithin the jurisdiction of xx shall hear and determine the same. 与本谅解备忘录有关的任何争端或解读,将提交给xx的管辖区域内的管辖法院进行审理和裁决。 12.General 概述 12.1This MOU supersedes any all prior understandings, arrangements between the parties with respect to the subject of this MOU. 根据本谅解备忘录相关条款,本谅解备忘录将取代双方任何先前的协议、安排。 12.2This MOU may not be assigned, and it will inure to the benefit of the Parties and their respective successors. 本谅解备忘录将不得被转让,且其将保障双方及其相关继承人的利益。 13.Notice 通知 Any notice or other information required or authorized by these presents to be given hereunder, may be given to the parties hereto by hand with due acknowledgement or sent by registered post, telex, facsimile transmission or comparable means of communication to the Parties hereto their respective addresses and facsimile numbers herein mentioned, or to such other address or facsimile number written notice of which has been given. 所需的任何通知或其他信息应通过书面形式确认或挂号邮寄,电传,传真或通讯的方式发送到缔约各方在此提到的各自的地址和传真号码,或者其他已经给出的地址或传真号码。 Xx Engineering (xx) Limited add Xx Co., Ltd.. add Dated : 29 December 2014 2014年12月29日 In witness whereof 有鉴于此, the party of xx Limited and Xx xx Co., Ltd.. hereto have caused their respective common seals to be affixed hereto and to one another of the same tenor and date as these presents at xx on this 22nd day of December Two Thousand and Fourteen. 在xx时间2014年12月22日,xx和xx有限公司, 当事双方在此分别在本协议和另外一方的协议上署名并盖上其公章。 The Common Seal of xx Limited is affixed hereto in the presence of its Managing Director Mr. xx, who do hereby attest the sealing hereof. xxLimited的公章在其总经理xx先生的见证下在此附上。 Witnesses : 见证人 1. 2.
