陈义红闪电创富 分立业务平台 + 对赌收购品牌 + 连环业务重组避税 陈义红闪电创富 作为李宁体育的高管和北京动向的CEO，陈义红看出了Kappa品牌的商机，通过私人公司与北京动向之间的关联交易分享利润，给李宁体育造成了监管压力，迫使李宁将北京动向出售给他。有了独立的发展平台以后，陈义红需要巨额资金支付Kappa品牌收购款，为了吸引摩根士丹利的资金，他签订了可转债和对赌协议，作出了年增长率高达480%的业绩。同时陈义红借助轻资产公司的特点，以连环业务重组进行避税，实现了业绩目标，并通过巧妙集团架构获得海外投资者认可。值得一提的是，身家从4000万元暴增到186亿元，用时还不到两年，陈义红堪称“闪电创富”高手。 本刊研究员 孙红/文 2007年10月10日，内地运动服饰生产商中国动向(3818.HK，或动向)正式登陆香港联交所，这是继李宁体育(2331.HK)、安踏体育(2020.HK)之后在港上市的第三家内地运动服饰企业。而市场反应程度之热烈，几乎超出了所有投资人的预料:公开发售13.75亿股获得超额认购123倍，创出了内地零售企业境外IPO新纪录，招股价稳稳落在了最初设计询价区间3.60-3.98港元的上限，全面摊薄市盈率高达73倍，算上超额配售部分共计融资约50亿港元。中国动向在资本市场的表现方面超过了在港上市的同行业所有对手(表1)。 中国动向上市当日的收盘价较招股价继续上涨了36%，市值达到298.7亿港元，以当日市值计已经超过了前辈李宁体育，成为中国运动服饰市值冠军。而凭借中国动向的上市，掌门人陈义红身家超过了老东家李宁，成为“2008新财富500富人榜”日用消费品行业的首富。不过更有意味的是，陈义红得以“致富”的Kappa品牌是李宁体育两年前放弃的业务。李宁体育为什么要舍弃Kappa品牌这样一棵摇钱树,中国动向又何以取得超乎寻常的高市盈率，融得大笔现金的呢,要解开这些谜团，还得要从陈义红的创业经历说起。 遭遇职业发展瓶颈 提到陈义红的创业，就不得不提另一家体育用品巨头李宁体育。陈义红1980年就开始从事运动服饰行业，1991年加盟李宁体育，先后出任广东李宁鞋部经理、北京李宁副总经理、总经理及行政总裁，1997年7月，陈义红出任李宁体育用品集团公司总经理，达到其职业生涯的顶峰。1997年8月，李宁体育第一轮改制，陈义红夫妇持有 “李宁系”主体公司上海李宁2.45%的股权，这一股权比例仅次于李宁家族，成为持股最多的高管。1998年，李宁体育二次改制时，陈义红拥有公司3.53%的股份，同样仅次于持有股份超过2/3的李宁家族。 不过陈义红与李宁的“蜜月期”并没有维持多久，2001年陈义红忽然从总裁的位置下来，转任法人代表，因为北京李宁等主要子公司都实行总经理负责制，直接向李宁体育董事会负责，这对一位43岁的总裁来button. Click the menu bar | Environment | Environment 说，意味着变相的失业。此时的陈义红，处于流年不利的低谷，根据他后来对媒体的描述，他当时甚至有离开李宁体育的想法。而回忆这段往事，李宁在多年后接受媒体采访时，对陈义红的不满仍然溢于言表:“包括一双鞋子什么颜色，一件衬衣什么款式，他都要插手。”“通常来讲，一个职业经理的收入是有限的，如果你心中期望着无限，你怎么可能去钻研和训练职业经理所必需的技术和素质呢,”不过陈义红也有自己的观点:“不想当老板的经理人，成不了好的职业经理人。”“作为老板，必须把职业经理人当成自己的合作伙伴，为他提供足够的发展空间，并从一开始就帮助职业经理人考虑他的职业发展问题，为他们的未来着想，帮助他们平稳地实现转型。”两人之间的分歧昭然若揭。 就在此时，Kappa品牌的出现，使形势有了新的变化。2002年2月24日，北京李宁与意大利公司BasicNet订立国际著名专业运动品牌Kappa在中国大陆及澳门的独家使用和经营权;2002年4月18日，北京动向体育发展有限公司(中国动向的前身，简称北京动向)正式成立，李宁体育持有80%股份，陈义红私人拥有的上海雷德之后通过受让获得另外20%股权;同年12月31日，北京动向继承了北京李宁的权利，成为Kappa品牌在中国内地及澳门的独家特许使用商。此时的陈义红有了一项新的工作任务，那就是负责管理Kappa品牌的营运。这样的安排无疑也可以看出李宁的苦心，一方面可以满足陈义红的创业欲望，开拓市场，从而为公司带来经济效益;而另一方面通过股权纽带与陈义红自身利益挂钩，调动其积极性。然而其后事情的发展并非如此。 关联交易转移利润，迫使李宁体育转让优质资产，李宁体育以“跳楼价”转让北京动向，陈义红获得创业平台 一般来讲，做国际运动品牌代理商主要依靠经销赚得利润，因而毛利率低于自有品牌，以Nike及Adidas两大运动品牌在中国内地最大的零售代理商百丽国际(1880.HK)为例，其2006年自有品牌的毛利率约为63%，而代理的运动服饰毛利率却仅为35.8%。不过与Nike及Adidas代理商只做经销赚取微薄利润不同的是，Kappa品牌给予北京动向的空间要大得多，北京动向可以自行开发、制造、销售以Kappa品牌命名的运动服饰，只须按特许协议每年付给BasicNet一定的特许权使用费即可，而Kappa作为国际知名品牌，北京动向也可以给予一定的较高定价，因此销售Kappa品牌的毛利率甚至还高于李宁体育自有品牌，以2004年为例，李宁体育自有品牌的毛利率约为46%，而Kappa品牌的毛利率却高达57.5%。 同时，陈义红管理下的Kappa品牌2003年开始逐渐走出了一条有别于耐克、阿迪达斯、李宁等专业运动服饰品牌的差异化路线，那就是所谓的“运动时尚”，即在保留Kappa品牌体育运动内涵的同时，融入时尚化、休闲化元素，将Kappa品牌定位于“运动、时尚、性感、品味”。而这一策略效果彰显，北京动向的销售额持续高速增长，2002年至2004年的复合增长率高达276%，2004年北京动向也扭亏为盈，当年销售额1.05亿元，录得纯利570万元。对于一个刚刚进入中国市场的新品牌来说，这一战绩已经实属不易，按理说这应该是一单相当不错的生意，但是就在北京动向步入良性发展轨道之际，李宁体育突然宣布转让北京动向股权。 2005年7月25日，李宁体育发布公告称，2005年6月30日，李宁体育的全资附属公司上海悦奥及上海李宁与陈义红的私人公司上海泰坦分别订立股权转让协议及债权转让协议。根据股权转让协议，上海悦奥同意转让其于北京动向80%股权予上海泰坦，代价为人民币861.4万元。在进行股权转让的同时，上海李宁同意根据债权转让协议转让北京动向欠其未偿还债务的权利予上海泰坦，代价为人民币3620万元。两项交易总计4481.4万元，在协议生效后14日内，由上海泰坦以现金一次性支付。 上海泰坦成立于2005年3月14日，陈义红夫妇持有93%股权，另外7%的股权则由当时北京动向的总经理秦大中持有。也就是说通过这次交易，陈义红才正式成为北京动向的绝对大股东，从而真正拥有了属于自己的创业平台(图1)。 tart, please set the environment for the 1th floor sections to be seen. Then open the barcode generator for the barcode002 - 2 - 对于为什么要在此时转让北京动向，李宁体育在公告中列出了若干原因，包括:公司业务重新定位，需集中财务资源发展自有品牌，对于发展国际知名品牌方面则是以直接收购或长期合资合作的形式进行;而目前与BasicNet订立的Kappa特许协议于2007年12月31日到期，尽管北京动向2004年已录得盈利，但到时并不能确定BasicNet能与之续约，同时BasicNet也没有采纳公司与之签订30年合约的建议;另外，BasicNet对陈义红管理下的Kappa品牌业务表现满意，公司将北京动向股权转让给陈义红，BasicNet不会因公司提前终止特许协议向公司提出赔偿。 虽然这样的解释表面看来合理，但却经不起逻辑的推敲:首先，当时Kappa的销售额明显上升，趋势可观，并且已经实现盈利，自身的滚动发展完全可以实现，并不需要占用集团的财务资源;其二，BasicNet对陈义红管理下的KAPPA品牌业务表现满意，代理合作破裂的可能性很小;其三，尽管不符合公司业务定位，却可以在不占用集团财务资源的基础上为股东创造价值。也就是说，如果从股东价值的角度考虑，李宁体育完全不必转让北京动向，除非转让价格相当具有吸引力，但861.4万元的转让代价按2004年北京动向的盈利来算，仅相当于2倍市盈率，倒更像是一个“跳楼价”。 关联交易逼宫李宁，“掏空”或是陈义红“单飞”主因 对出让北京动向的解释使李宁看上去像一个急于变卖家业的富家子，但你还是不得不佩服李宁编故事的能力，这个故事这么符合国人的思维习惯，以至于众多媒体主动宣传这一版本的故事:“Kappa特许权协议仅5年时间，长远而言，李宁公司无法分享到对Kappa投资所能带来的增值效果。公司希望2007年约满时与BasicNet续约，延长特许权时间，但没有被BasicNet集团采纳，故而退出。”不过从两年后中国动向《招股书》的财务数据当中，我们可以推理出李宁转让Kappa的另一版本: 2002-2004年，陈义红带领北京动向一路高歌，不到三年的时间里，Kappa的销量突破亿元，北京动 -1th floor sections to be seen. Then open the barcode generator for the barcode002 3 - 向2004年开始盈利。特别是陈义红“运动时尚”策略的推出，Kappa开始走有别于耐克、阿迪达斯的路线，成功避开了众多跨国体育巨头短兵相接的“专业体育”用品市场，开辟了一片属于自己的蓝海，这样就使得Kappa看上去更加“性感”，这对一直想自己创业的陈义红来说，自然是一次难得的机会。而就在这个时候陈义红的私人公司上海泰坦诞生了。 2005年北京动向产品的平均售价较2004年有了大幅的提高，其中衣服的平均售价提高18%，鞋类的平均售价提高25%，这对提高毛利率大有帮助，但令人不解的是，北京动向2005年前8个月(上海泰坦收购前)的平均毛利率较2004年大幅下降6.6%，由2004年的57.5%下降到2005年的50.8%，为此中国动向的《招股书》解释:“北京动向的毛利率降低，乃由于北京动向于2005年开始以上海泰坦组织部分经营，以配合急速的经营扩充，以致北京动向需承担部分责任并向上海泰坦支付人民币约1820万元，因此，相比起北京动向与2004年同期自行组织全部经营活动，毛利率下跌6.6%”。这说明，北京动向在转让给上海泰坦之前，已经与上海泰坦之间发生了数额至少不低于1820万元的交易。值得注意的是，此时的陈义红仍然是李宁体育的高管，担任着执行董事一职，而在李宁体育的所有公开信息披露中，都对这一关联交易只字未提。 这一事实说明，陈义红并不满足于在北京动向20%的股权，而是通过私人公司与北京动向之间的关联交易来扩大这一战果。而陈义红此举，无疑给作为上市公司的李宁体育造成了很大的监管压力。面对这样的局面，李宁只可能有两种选择，第一种就是重新调整北京动向的组织结构，不过这样一来就面临着和陈义红彻底决裂，同时面临上市公司和其名人形象受损的结果;第二种就是干脆把北京动向转让给陈义红，友好分手。李宁选择了后者。对于这段往事，在后来的采访中陈义红也承认:“我买下动向公司，也是我们(陈义红与李宁)关系的一种延续，对于我和李宁公司都是一个圆满的结局。” 2005年8月11日，李宁体育转让北京动向交易获股东大会通过，2005年9月1日陈义红正式辞去李宁体育执行董事一职，而对于收购北京动向所支付的4481.4万元，采访过中国动向的媒体是这样的:“为此，陈义红不惜卖掉了在李宁集团的所有股份。”根据李宁体育2004年年报，陈义红夫妇2004年底持有1366.6万股李宁体育的股份，以2005年8月李宁体育的二级市场市场价3-4港元的波动范围来看，套现4481.4万元，陈义红几乎要在最高点全部出手。 北京动向在收购后盈利能力爆发 收购北京动向后，Kappa的销售额和净利润表现出强劲的爆发力，在收购前的2005年前8个月，北京动向Kappa的销售额为1.17亿元，净利润321万元;而由于北京动向的财务报表从2005年9月开始合并报表，根据合并后的财报，2005年Kappa的销售额为1.48亿元，净利润为3781万元(表2)。也就是说，2005年的后四个月Kappa的销售额已经超过了前8个月，而净利润更是前8个月的10倍。 收购前后财务数据异乎寻常的反差，实际上更进一步验证了我们的推测:陈义红如果通过盈余管理降低北京动向的净利润，一方面可以降低李宁对这块资产的兴趣，为其收购创造有利条件;另一方面也有利于收购的出价，降低交易成本。 可转债与高增长承诺，吸引大摩高价入股 the s house. Click the menu bar | Environment | Environment 4 - 大摩提供资金，中国动向收购Kappa品牌资产 尽管收购后的“动向系”有超强的盈利能力，但终究还只是Kappa的地区代理商，这样的身份短期风光，但长期面临困境:把Kappa品牌做大，其实是在培养Kappa品牌的拥有者BasicNet在中国市场的潜力，一旦BasicNet在特许权协议期满后拒绝继续合作，则北京动向就是在给他人做嫁衣。更重要的是，公司发展前景面临变数，就很难得到投资人的认可，更不要提上市融资了。 2006年初，这一状况发生了转机，2006年3月26日，陈义红全资拥有的公司Diamond King International Limited(简称“Diamond King”)与BasicNet订立协议，以3500万美元购买Kappa品牌在中国内地及澳门的全部权益，成为了Kappa品牌的拥有者。按照北京动向总经理秦大中的说法:“当时，BasicNet集团正好陷入了资金危机，急缺现金，我们才有机会买到这个资源。” 不过，当时的“动向系”从上至下都不是富豪，而且“动向系”2005年的全年净利润不过3781万元，陈义红拥有的李宁体育的股权早已抛售并用于收购北京动向的股权，又从哪里去弄这么多美元呢,从中国动向《招股书》的细节当中，我们可以推测出，Diamond King前期实际只支付了300万美元定金，并且还是向陈义红私人借的(后文将对这一推测进行详细阐述)，而“动向系”于2006年初向股东分配了2005年的利润，派息3000万元，与300万美元的来源基本相符。此后的2006年3月，国际知名投行摩根士丹利宣布向“动向系”投资3800万美元，从而彻底解决了“动向系”的收购资金来源问题。 海外重组一石二鸟 在摩根士丹利进入之前，“动向系”配合大摩做了一系列的资产重组:2006年4月4日，香港动向体育发展有限公司(简称“香港动向”)在香港注册成立，向LFDI Nominees Limited(简称“LFDI”)发行1股面值1.00港元的香港动向股份，代价为1.00港元，2006年4月10日，LFDI将这1股香港动向股份转让给 Liu Yueh-Er女士。同一天，一家叫做Gaea Sports Limited(简称“Gaea Sports”)的公司也在香港注册成立，也是以1港元的代价向LFDI发行1股面值1.00港元的Gaea Sports股份，2006年4月10日，LFDI将这1股面值1.00港元的Gaea Sports股份转让给了香港动向，这样一来，Gaea Sports就成了香港动向的全资子公司。 2006年4月10日，上海泰坦和上海雷德的原股东向Gaea Sports转让各自在公司当中的股权，转让总代价根据上海泰坦和上海雷德的资产净值确定，分别为3410万元和280万元。 2006年4月20日，Achilles Sports Pte. Ltd(简称“Achilles”)在新加坡注册成立，同时向香港动向发行10股每股面值1.00美元的Achilles股份，代价为10.00美元。Achilles也成为香港动向的全资子公司。 2006年4月24日，Poseidon Sports Limited(简称“Poseidon”)在开曼群岛注册成立，其时股东为陈义红家族和北京动向的总经理秦大中，其中陈义红家族持股约93%，秦大中持股约7%。2006年5月9日，Liu Yueh-Er将持有的1股面值1.00港元的香港动向股份转让给了Poseidon，香港动向成了Poseidon的全资子公司(图2)。 o the automatic tridimensional warehouse storage. If the tray 2 out of the library, right 6 - 个控股型母公司，那就是香港动向，同时具备了红筹上市的雏型。也就是说，重组起到了解决大摩入股主体以及构筑将来退出通道的双重效果，能够消除大摩投资的后顾之忧。 境外上市的股权架构雏形搭建好以后，陈义红之前与BasicNet签下的Kappa品牌在中国内地及澳门的永久权益，就需要纳入到这一体系中了。2006年5月10日，Diamond King、Achilles、BasicNet订立了一份转让及豁免协议，根据该协议，Diamond King以1美元的代价向Achilles转让了其之前与BasicNet签订的有关Kappa品牌买卖协议的所有权利及责任。通过此项转让协议，“动向系”所有的核心资产都被纳入了红筹上市的海外架构当中。 可转债与对赌协议吸引大摩高价入股 “2006年3月，经过磋商和谈判之后，著名投行摩根士丹利对北京动向投资3800万美元，占股20%”。媒体这样报道摩根士丹利入股动向。按照“动向系”2005年的净利润计算，大摩以3800万美元获得20%股权，相当于以40倍市盈率入股，从静态市盈率的角度来看，这无疑是一个贵得离谱的价格。更何况，“动向系”当年的净资产只有3780万元，是典型的“轻资产”公司，如果按照净资产额进行增资，大摩将获得高达将近90%的股权。这个版本的故事使摩根士丹利像个急着掏钱的傻瓜，事情显然并非这样简单，那么，“动向系”在吸引大摩高价入股上做了怎样的安排呢, 2006年5月10日，摩根士丹利与“动向系”正式签订了投资协议，根据该协议，Achilles分两期向大摩发行2900万美元及300万美元的票据及商标登记票据，所得款项用于拨付购买Kappa品牌的部分代价;同时香港动向向摩根士丹利发行600万美元的过桥票据，以拨付内部重组及营运资金所需。协议中约定，如果没有达成包括成功收购和登记Kappa品牌在内的若干条件，所有票据将于2007年5月30日到期，“动向系”须向摩根士丹利以15%的内部回报率支付本金及回报。此外，于票据年期内，若“动向系”向股东分派股息或其他分派，还须向摩根士丹利支付相等于应付予股东的总股息或其他分派25%的总利息。同时，香港动向与摩根士丹利在当天还订立了一份担保及抵押契据，据此，香港动向将Achilles的所有已发行及未发行普通股及来自该等股份所有权的一切所得款项作为抵押品抵押给了摩根士丹利。 可以看出，摩根士丹利所投入的3800万美元初期只是以债务的形式出现，属于一种类似于可转债的金融工具，有充分的回旋余地:如果“动向系”业务发展良好，可转债可以直接转换股权来实现收益的最大化;而如果“动向系”效益达不到摩根士丹利的期望值，那么，转换则可以不发生，此外，将“动向系”公司当中最具价值的、拥有Kappa 品牌在中国内地及澳门永久权益的公司Achilles的股权作为抵押品，保证了“动向系”一旦出现偿债困难时大摩能够全身而退，“动向系”与大摩之间做这样的协议安排实际上满足了大摩对投资安全性的考虑。 区区15%的回报显然难以满足摩根士丹利的胃口，通过“动向系”上市退出获取更高回报才是其真正所图。陈义红进一步以高成长性为诱饵，与大摩签下了对赌协议:如果2006年和2008年，最终上市主体动向的净利润达不到2240万美元及4970万美元的目标，Poseidon和Wise Finance Ltd(北京动向总经理秦大中全资公司)同意以1美元的象征性代价转让动向股份给大摩(分别按93%及7%)，具体比例根据实际净利润与目标值之间的差额确定，但最高比例不得超过IPO前2007年6月29日动向总股本的20%。最高比例20%实际上意味着即便出现最坏的情形，陈义红依旧能够保持控股权，显然在这个重大问题上，陈义红保留了自己的底线。此外，如果动向2008年净利润超过5590万美元，摩根士丹利将按2007年6月29日动向总股本的1%奖励Poseidon和Wise Finance Ltd动向股份。为确保Poseidon 的股东履行协议，Poseidon将所持的全部动向股份交给摩根士丹利做了抵押品直至IPO完成后失效，陈义红再一次给大摩吃了一粒“定心丸”。 陈义红敢于与摩根士丹利签署如此不平等的条约，着实令人为之捏了一把汗，因为“动向系”2005年的净利润不过3780万元，但是根据对赌协议，2006年的净利润要达到约人民币1.8亿元，即相当于2005年净利润的4.8倍，才能够赢得赌局。不过这样的安排体现了陈义红的底气:因为“动向系”2005年8月才完成对北京动向的收购，从2005年9月1日开始合并报表，因此2005年“动向系”的净利润实际上有90%以上来自2005年的后四个月，如果简单将2005年净利润3780万元乘以3来推算其全年净利润，其全年净利润将达到1.13亿元，净资产收益率将为270%，而根据对赌协议中2006年的目标值约合人民币1.68亿 -instructionmenu (1 layer). From 2 out of the tray after it has been transferred to the transit point discharge, workup menu, select [IO-click with the mouse on the tray in the pop 7 - 元，较1.13亿元实际上仅要求增长48%，净资产收益率仅54%，也就是说，根据这一推算，对赌协议中的考核目标不仅不高，而且几近虚设，这也是陈义红敢于在多个场合表达“与大摩对赌零风险”的底气所在。2006年，陈义红预料之中地大比例超额完成了任务，“动向系”的财务数据显示，销售额从2005年底的1.48亿元增至2006年底8.59亿元，销售收入增长了480%，税后利润从3781万元增至3.06亿元，增长了705%。 在收购Kappa品牌的前期，陈义红用自己的资金垫付了300万美元定金，拥有了Kappa品牌权益。在摩根士丹利投资以后，“动向系”有能力支付3500万美元的购买价格，此时，陈义红几乎以零代价把Kappa品牌权益转让给了“动向系”。而通过一系列转让、豁免及认购协议，陈义红付出的300万美元则转化为了其在香港动向的股权:根据协议，陈义红私人公司Diamond King向Achilles转让Diamond King欠付陈义红的300万美元贷款的责任，根据我们的推断，陈义红的这笔贷款应当就是前期Diamond King收购Kappa品牌时支付的定金。而后Achilles按1.00美元的代价向香港动向转让该笔贷款，陈义红则同意以1美元的代价向Poseidon转让该笔债权。2006年5月30日，香港动向对Poseidon发行7999股每股面值1港元的股份，作为解除香港动向欠负Poseidon的300万美元贷款的代价。通过上述技术处理，陈义红的此笔债权最后演变成了香港动向的7999股股票。 鉴于陈义红团队2006年取得了辉煌战果，上市有望，同时Kappa商标已于2007年3月底前完成向中国内地、澳门的商标部门及世界知识产权组织注册转让的手续，摩根士丹利决定立即将债权转成股权。2007年4月20日，香港动向向摩根士丹利发行2000股股份，而代价是摩根士丹利转让票据及商标登记票据权利给香港动向及香港动向注销过桥票据。此次交易后，摩根士丹利成为了香港动向持股20%的股东，可以说，2006年5月达成的投资协议，直到近一年后的2007年4月20日才真正完成。 以连环业务重组避税，完成业绩目标 在对赌协议业绩增长目标面前，陈义红展现了高超的财务运作技巧，其中的一个典型手法就是充分利用轻资产公司的特点(表3)，通过连环业务重组避税。 陈义红在2005年9月全面接手北京动向后，开始重整业务架构，由于北京动向员工工资、福利以及广告开支等超过税法规定的限额部分并不能税前扣除，北京动向的实际税率远高于33%的法定企业所得税税率，2004年及截至2005年8月31日止8个月的的实际税率分别达到52.3%及62.8%。高税负无形中大大降低了北京动向的利润率。而陈义红2005年3月成立的私人公司上海泰坦的公司所在地位于可以享受优惠税收待遇的上海浦东新区，可以享受公司成立当年免税，第二和第三年按15%的优惠所得税待遇。于是，陈义红将有关中国南部的业务营运由北京动向转让给了上海泰坦，北京动向仅保留了中国北部的业务。 动向系”大幅度降低了税负。根据“动向系”2005年合并财报，企业所得税率通过这一业务重整策略，“ 仅为5.3%，这无疑对提升利润率大有帮助，在收购北京动向前的2005前8个月，KAPPA的销售利润率仅为2.7%，而收购后2005年后四个月的销售利润率迅速提升到25.6%，围绕合法避税所展开的业务架构重整在强化“动向系”的整体盈利能力方面发挥了至关重要的作用。 -tart, please set the environment for the 1th floor sections to be seen. Then open the barcode generator for the barcode002 8 - 签定对赌协议之后，在“动向系”密集进行海外股权重组的同时，也加快了国内业务架构的重组，2007年1月26日，上海泰坦的全资子公司上海卡帕成立，2007年3月，北京动向和上海泰坦将Kappa品牌的销售及生产业务转让给了上海卡帕，而北京动向负责经营国际采购业务及新代理的另一品牌Rukka的经营，上海泰坦则主要发挥投资控股的职能，持有北京动向和上海卡帕的股权。这样的重组有利于集团成员公司集中资源在各自专注的业务，避免了资源的重复建设及浪费，不过更重要的是，业务重组后将会直接导致“动向系”的实际税率下降:上海卡帕注册地同样也是位于可以享有优惠税务待遇的上海浦东新区，成立当年可以免缴企业所得税，因此将Kappa品牌的销售及生产业务从税负较高的北京动向及上海泰坦重组到上海卡帕无疑将大幅降低合并后的实际所得税率。“动向系”合并的财报显示，2006年合并后的企业所得税率为17.6%，2007年则迅速下降到4.9%，主要的原因就是上海卡帕首年免征企业所得税所致。这样的业务重组安排无疑将大幅提升“动向系”的盈利能力，维持上市前财务数据的可看性，对招股十分有利。值得玩味的是，只要上海浦东的税务政策不发生变化，等到上海卡帕的免税期一过，“动向系”完全可以在浦东再注册一家公司，将主要业务整合过去，再度享受免税的优惠。 境外上市成就“闪电创富” 2007年8月24日，上海泰坦进一步向北京动向注资人民币920万元。由于注资，北京动向的注册资本由80万元增加至1000万元，而上海泰坦于北京动向股权则由80%增加至98.4%，而上海雷德则由20%减至1.6%。经过这一番调整，突出了上海泰坦在国内的控股母公司地位。开曼群岛的法律环境符合香港联交所的上市要求，开曼公司也是理想的上市主体，2007年3月23日，“动向系”的上市主体中国动向(集团)有限公司在开曼注册成立。2007年6月29日，Poseidon及摩根士丹利将所持有的香港动向的全部已发行股本转让给了中国动向，转让的代价为分别发行799.9万股及200万股给Poseidon 及摩根士丹利， Poseidon 和摩根士丹利则成为中国动向的股东，分别转让后，香港动向成为中国动向的全资子公司，而 持有80%及20%的股权，至此“动向系”红筹上市的架构完全搭建成形(图4)。 如此巧妙的安排结束之后，可以说资本运作已经大功告成，上市只是等待合适的时机了。2007年9月，就在沪指站上5500点，恒生指数突破27000、直指30000点之际，中国动向正式拉开在香港招股大幕，通 o the automatic tridimensional warehouse storage.
